Photo & Video Release Agreement

This Photo & Video Release Agreement (“Agreement”) is entered into between the individual named below (“Artist” or “Releasor”) and Moydi (“Company”). The full text of this Agreement is published at moydi.com/release-terms. By signing below, the Artist confirms they have read, understood, and agreed to those terms in full.

1. GRANT OF RIGHTS

The Artist hereby irrevocably grants to Moydi and its affiliates, licensees, successors, and assigns, the unlimited, perpetual, worldwide, royalty-free right and license to use, reproduce, publish, distribute, publicly display, publicly perform, modify, create derivative works from, and otherwise exploit any and all photographs, video recordings, audio recordings, live streams, and other media content featuring the Artist’s name, image, likeness, voice, performance, and biographical information (collectively, “Content”) in any manner and for any purpose whatsoever.

2. PERMITTED USES

Without limiting the foregoing, such permitted uses include but are not limited to:

  • Social media platforms (Instagram, TikTok, YouTube, Facebook, Twitter/X, LinkedIn, etc.)

  • Moydi’s website, mobile applications, and digital platforms

  • Promotional, marketing, and advertising materials in any format

  • Press releases, editorial content, and media publications

  • Commercial broadcasting, streaming services, and television

  • Print materials including posters, flyers, brochures, and merchandise

  • Documentary, film, or video productions

  • Training and development of artificial intelligence, machine learning, and other automated systems (see Section 3)

  • Any other current or future media formats

3. USE OF CONTENT FOR ARTIFICIAL INTELLIGENCE

The Artist expressly acknowledges and agrees that Moydi may use the Content—including but not limited to photographs, video recordings, audio recordings, voice, likeness, and performance data—for the following purposes:

  • Training, fine-tuning, testing, and evaluating artificial intelligence (AI) and machine learning (ML) models;

  • Developing AI-generated or AI-assisted creative tools, features, or products;

  • Building datasets, benchmarks, or training corpora for internal or commercial use;

  • Any other AI research, development, or deployment activities undertaken by Moydi or its partners.

Moydi does not guarantee anonymization of Content used for AI purposes. The Artist understands that once Content is incorporated into an AI model or dataset, it may not be possible to retrieve or delete it. This grant is irrevocable and survives termination of any other relationship between the Artist and Moydi.

4. COMPENSATION

Unless a separate written agreement specifying compensation has been signed by both parties, the Artist acknowledges that no financial compensation, royalties, or other remuneration shall be owed by Moydi for the use of the Content as described in this Agreement, including its use for AI training and development purposes.

5. WAIVER OF CLAIMS

The Artist waives any right to inspect or approve the finished Content or the manner in which it is used, and releases Moydi from any and all claims, damages, or liability arising from the use of the Content, including but not limited to claims for invasion of privacy, right of publicity, defamation, copyright infringement, or claims arising from the use of the Content in AI systems.

6. REPRESENTATIONS AND WARRANTIES

The Artist represents and warrants that: (a) they are at least 18 years of age, or if a minor, that a parent or legal guardian has signed this Agreement on their behalf; (b) they have the full legal authority to enter into this Agreement; and (c) the Content does not infringe upon any third-party rights.

7. GOVERNING LAW — STATE OF NEW YORK

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved exclusively in the courts of the State of New York.

8. ENTIRE AGREEMENT

The full terms of this Agreement are published at moydi.com/release-terms and are incorporated herein by reference. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof. Any modification must be in writing and signed by both parties.

ARTIST ACKNOWLEDGMENT

By signing below, the Artist confirms they have read and agreed to the full Moydi Photo & Video Release Agreement at moydi.com/release-terms (governed by the laws of the State of New York), including the express grant to Moydi to use their Content for AI training and development purposes, with no limitations and no compensation owed.

Digital Submission Note

This form may be completed digitally via the Moydi artist registration form at moydi.com. A digital signature collected through that form carries the same legal effect as a handwritten signature under New York Electronic Signatures and Records Act (ESRA) and the federal E-SIGN Act.

PARENTAL / GUARDIAN CONSENT (if Artist is under 18)

I, the undersigned parent or legal guardian of the Artist named above, have read this Agreement and the full terms at moydi.com/release-terms, including the grant for AI data use, and consent on behalf of the minor.
